    Virtual Referral Network, LLC Independent Contractor Agreement Between Broker and Associate

    We would like to welcome you to the Virtual Referral Network, LLC (hereinafter “VRN”). Attached hereto you will find the following forms that require your signature:

    • Independent Contractor Agreement Between Broker and Associate

    • Addendum “A”

    • Form W9/Request for Taxpayer Identification Number & Certification

    • Form DBPR RE 11/ Request for Change of Status.

    Once we have received the form back signed, we will process your paperwork with the State. This information is not stored digitally on the website or any server that hosts the website. All inputs are directly printed on to a PDF and exported to us via a private email through SSL certified encrypted data transmission.

    Michael Menchise (“Broker”) is licensed as a real estate broker in the State of Florida and performs acts designated within Chapter 475, Florida Statues, enjoys goodwill and a reputation for dealing with the public, and maintains an office for the purpose of servingthe public as a real estate broker.






    Broker and Associate agree to associate pursuant to the following terms and conditions.

    1. Employment Status.

      Broker retains Associate as an independent contractor to assist Broker in the performance of real estate-related activities. With respect to the clients Associate will be construed to be an agent of Broker; otherwise, Associate will not be and customers for whom service is performed with the scope of this Agreement, deemed a servant, employee, joint venturer or partner of Broker for any purpose. Associate will not be treated as an employee for Federal tax purposes with respect to the services performed for Broker under this Agreement. Associate is responsible for paying his/her own estimated income tax payments, self- employment taxes, occupational taxes and other taxes, if any, to the appropriate governmental entities. Broker will not withhold any taxes from compensation due toAssociate, nor will Broker provide worker’s compensation insurance for Associate.

    2. Associate Responsibilities

      1. Compliance. Associate recognizes and acknowledges the obligation to keep
        abreast of all legal and other issues that affect the real estate industry as they may change from time to time. Associate will not commit any act that violates Florida real estate license law.

      2. License Renewal: Continuing Education; Dues. Associate will be responsible for timely renewing Associate’s real estate license and for completing all legally required continuing education in a timely manner and maintaining the records that evidence such completion as required by Florida Real Estate Commission. Associate will be responsible for paying all license fees, membership dues and fines.

      3. Broker Supervision. Associate will be deemed to be working under Broker’s supervision only to the extent required by Chapter 475, Florida Statues.

      4. Responsibility. Broker will not be liable to Associate for any expenses incurred by Associate nor for any of Associate’s acts. Associate will have no authority to bind Broker by any promise or representation, oral or otherwise unless specifically authorized in writing in a particular transaction. Suits, whether for fees or otherwise, against clients, customers and others in the real estate business will be maintained only in Broker’s name. Associate is responsible for providing all tools necessary to perform the duties outlined. Associate will also be responsible for providing Associate’s own automobile and is responsible for transportation expenses.

      5. Indemnification. Associate will indemnify and hold Broker its officers, directors and employees harmless from all claims, demands suits, costs and expenses including reasonable attorney’s fees at all levels, of whatever nature and description to the extent based on Associate’s representations; acts; omissions; negligence; willful misconduct; or violation of laws, rules, regulations, codes of ethics, this Agreement or office policy manual.


    ADDENDUM “A” to Independent Contractor Agreement Between Broker and Associate

    $120.00 per year due at signing and will be renewed annually. You can request a membership cancelation at least 5 business days before the start of your renewal date.

    You may refer any real estate leads to any Keller Williams Wellington agents when possible or to a licensed agent of your choice agent and receive a referral fee which you negotiate directly with your agent of choice.

    Of the referral fee, we pay 80% of that fee to you, the referring agent.

    For example: you refer a listing or buyer to someone that results in a $500,000.00 sale with a 3% commission equaling, $15,000.00 The agent pays a 25% referral fee to VRN, which is $3,750.00 You will keep 80% of that referral, which is $3,000.00. This represents a referral fee for referring a name and phone number, not for participating in the transaction.

    As an agent with VRN you are not required to join any Board of Realtors. You cannot work with any buyers or sellers directly – you can ONLY REFER leads to other active agents.

    IF YOU ARE/WERE A KELLER WILLIAMS AGENT:

    You can continue to sponsor people to Keller Williams and receive profit sharing money.

    If you wish to remain in the KW system, you will need to pay the annual $25.00 fee in January to Keller Williams International to stay in the KW system with your down line. You will not be responsible for any monthly office fees. This fee would be in addition to the $120 fee payable to VRN.

    You must keep your license active and provide proof of your bi-annual renewal.
